California Partnership Law: What Governs Your Dispute

General partnerships formed or operating in California are governed by the Revised Uniform Partnership Act (Corporations Code sections 16100 et seq.). This framework defines the rights, duties, and remedies available to partners in conflict, and understanding it matters before you decide how to act.

Under California law, partners owe each other fiduciary duties of loyalty and care. The duty of loyalty includes an obligation to account for and hold as trustee any property, profit, or benefit derived from partnership business. A partner who violates this duty can be held liable for the harm caused.

A written partnership agreement can modify many of these default statutory rules. When no written agreement exists, California’s default rules control profit sharing, management authority, and the conditions for dissolution. Those defaults don’t always reflect what partners originally intended, which is a frequent source of conflict.

California courts can order dissolution when it’s not reasonably practicable to carry on the business in conformity with the partnership agreement, when a partner has engaged in conduct making continued operation unreasonable, or when the partnership’s economic purpose is likely to be frustrated.
